This is an introduction to the Asia Pacific Loan Market Association (APLMA) and the work of its Australian Branch. The seminar will examine:

  • The suite of documents published by APLMA Australian Branch
  • The basic architecture of the APLMA facility documents: how the representations, undertakings and events of default work together
  • Key terms of relevance to borrower side FTA members:
    – “Hot spot” negotiating points for borrowers
    – Rate setting provisions, including screen rates, fallback provisions, reference bank
    machinery
    – Market disruption clauses
    – Interest withholding tax and s128F ITAA
    – FATCA
    – Article 55 European “bail-in” laws- Secondary trading of your debt and how to
    control it
